4. Service Availability

We strive to maintain high availability of our services, but we do not guarantee uninterrupted access. We are not liable for any loss or damage resulting from service interruptions or unavailability.

5. Fees and Payment

Fees for our services are as quoted on our website or as agreed in writing. All fees are exclusive of applicable taxes unless otherwise stated. Payment terms are net 30 days from invoice date unless otherwise agreed in writing.

Late Payment

Late payments may incur interest charges at 1.5% per month (or the maximum rate permitted by law, whichever is lower) from the due date until paid. We reserve the right to suspend services for accounts with overdue balances.

6. Confidentiality

Both parties agree to maintain the confidentiality of any confidential information received from the other party. This obligation continues for a period of 5 years after termination of services. Confidential information does not include information that is publicly available or becomes publicly available through no fault of the receiving party.

7. Data Protection

We will process personal data in accordance with applicable data protection laws and our Privacy Policy. You warrant that you have all necessary rights and consents to provide us with any personal data you share with us.

8. Limitation of Liability

To the maximum extent permitted by law, EAGLE365 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our services.

Our total liability for all claims related to our services shall not exceed the amount you paid for the services in the 12 months preceding the claim, or £1,000, whichever is greater.

9. Warranty Disclaimer

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that our services will be error-free, uninterrupted, or secure. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

Either party may terminate services with 30 days written notice. We may terminate services immediately if you breach these terms or fail to pay fees when due. Upon termination, you must cease all use of our services and destroy any confidential information in your possession.

Sections that by their nature should survive termination (including but not limited to sections on intellectual property, confidentiality, limitation of liability, and governing law) shall survive termination of these terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the new terms on our website or through other reasonable means. Your continued use of our services after any changes constitutes acceptance of the modified terms.
